GoldHaven Resources acquires Copper Peak Metals

Canadian junior metals exploration company GoldHaven Resources has completed the acquisition of Copper Peak Metals, securing two assets in the historic districts of British Columbia (BC).

This acquisition integrated the Magno and Three Guardsmen mining properties into GoldHaven’s portfolio and follows a definitive securities exchange agreement signed between the companies on October 31, 2024.

The transaction involved an exchange of 3.99 million shares of common stock at a deemed price of $0.09 each and a warrant to purchase one million shares; Some of the shares were subject to pool regulation.

The shares are subject to a release plan: 10% immediately, the remainder in six tranches over three years.

Additionally, the company has committed to pay property option holder Gerry Diakow $93,334 by January 29, 2025.

The Magno Property, located in the Liard Mining District, consists of 24 mineral properties, and the Three Guardians property, located in the northwestern corner of BC near Haines Junction, is an exploration area with historic finds of numerous valuable minerals.
